This limitation applies regardless of the legal theory asserted, including contract, negligence, strict liability, warranty, statute, or any other theory of liability, even if Stimilitia has been advised of the possibility of such damages.
Nothing in these Terms shall limit or exclude liability where such limitation or exclusion is prohibited by applicable law, including liability for intentional misconduct, fraud, or gross negligence where applicable.
11. Indemnification
You agree to defend, indemnify, and hold harmless Stimilitia LLC and its owners, officers, directors, employees, contractors, affiliates, licensors, successors, agents, representatives, and service providers from and against any claims, demands, actions, damages, liabilities, judgments, losses, costs, penalties, fines, settlements, and expenses, including reasonable attorneys' fees and court costs, arising out of or relating to:
Your violation of these Terms.
Your misuse of the Site.
Your misuse of any product purchased from Stimilitia.
Your violation of any law or regulation.
Your infringement of another person's intellectual property rights.
Your User Content.
Your negligent or wrongful conduct.

Venue

13. Force Majeure
Stimilitia LLC shall not be liable for any delay, interruption, failure to perform, or inability to fulfill its obligations under these Terms when such delay or failure results from circumstances beyond our reasonable control.
These circumstances may include, but are not limited to:

Floods
Hurricanes
Fires
Earthquakes
Severe weather
Pandemics or public health emergencies
Government actions
Changes in law or regulation
War
Terrorism
Civil unrest
Labor disputes
Supply chain disruptions

Transportation delays
Manufacturing interruptions
Shortages of raw materials
Carrier delays
Acts or omissions of third parties beyond our reasonable control
During any such event, our obligations shall be suspended for the duration of the force majeure event. We will make commercially reasonable efforts to resume normal operations as soon as practicable.
14. Severability
If any provision of these Terms is determined by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, that provision shall be enforced to the maximum extent permitted by applicable law.
The remaining provisions of these Terms shall remain in full force and effect and shall not be affected by the invalidity or unenforceability of any individual provision.
To the extent permitted by law, any invalid or unenforceable provision shall be modified rather than voided so that it most closely reflects the original intent of the parties while remaining enforceable.
15. No Waiver
Failure by Stimilitia LLC to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Any waiver of any right or provision under these Terms shall be effective only if made in writing and signed by an authorized representative of Stimilitia LLC.
No waiver of any breach shall be deemed a waiver of any subsequent breach.
